Terms of Service

1. Acceptance

By creating an account, clicking to accept, purchasing a plan, accessing an API or MCP integration, or otherwise using Notyfi, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Notyfi.

If you use Notyfi for a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization. A separate signed agreement with Perceptron ML, Inc. controls if it expressly conflicts with these Terms.

2. Eligibility and accounts

You must be at least 18 years old and legally able to enter a contract to use Notyfi. You must provide accurate information, keep it current, and protect your password, API keys, connected agents, and account access. You are responsible for activity performed through your account unless caused by our breach of these Terms.

You may sign in with Google. When you do, you authorize us to use the basic identity information described in our Privacy Policy to authenticate you and create or link your Notyfi account.

3. The service

Notyfi is an information discovery and notification service. You describe what you want to track, and Notyfi may identify and monitor public sources, generate a feed, and send updates through the dashboard, email, API, MCP, or other enabled channels.

Features, sources, limits, delivery timing, and availability may change. We may add, remove, pause, or modify functionality to improve or protect the service, comply with law, or respond to third-party changes.

4. Your content

You retain ownership of tracking requests, notes, instructions, source suggestions, and other content you submit. You grant Perceptron ML, Inc. a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, and create technical adaptations of that content only as reasonably necessary to operate, secure, support, and improve Notyfi. This license includes allowing our service providers to process content for those purposes and ends when the content is deleted, except for copies retained in ordinary backups or as legally required.

You represent that you have the rights and permissions needed to submit your content and direct us to process it. Do not submit passwords, private keys, payment card data, government identifiers, protected health information, or other highly sensitive data that is not necessary for a tracking request.

5. Automated processing and third-party information

Notyfi uses automated systems and may use artificial intelligence to interpret requests, find sources, assess relevance, summarize information, and organize feeds. Automated results can be wrong. Source labels, summaries, timestamps, and other generated information are provided for discovery and must be checked against the linked source.

Feeds may contain links, excerpts, facts, or metadata from third parties. Those parties retain their rights in their content. Inclusion does not mean that Notyfi endorses a source or that a source endorses Notyfi.

6. Acceptable use

You may not use Notyfi to:

• Violate law, regulation, court order, contractual restriction, intellectual property rights, privacy rights, or data protection rights.
• Stalk, harass, intimidate, discriminate against, dox, exploit, or unlawfully surveil another person.
• Track or expose precise location, highly sensitive personal information, credentials, or private communications without lawful authority and appropriate consent.
• Bypass access controls, paywalls, robots restrictions, rate limits, or technical protections, or direct Notyfi to access a source you are not authorized to access.
• Distribute malware, phishing, spam, deceptive content, or material that facilitates harm or illegal activity.
• Interfere with Notyfi or a third-party service, probe for vulnerabilities without written permission, overload infrastructure, or use the service to build a competing dataset through systematic extraction.
• Misrepresent generated or third-party information as verified, official, or produced by a human when that would be deceptive.

We may investigate suspected violations and limit or suspend use to protect people, sources, infrastructure, or the integrity of the service.

7. APIs, MCP, and agents

You may use supported APIs, MCP tools, and agents within the limits of your plan and documentation. Keep API keys secret and promptly revoke a key you believe is compromised. You are responsible for instructions, requests, and actions initiated by agents or systems using your credentials.

We may enforce quotas, rate limits, source restrictions, and technical safeguards. You may not resell, sublicense, or provide shared access to the service unless your plan or a separate written agreement allows it.

8. Plans, billing, and cancellation

Notyfi may offer free and paid plans with different limits and features. Current prices and included features are shown before purchase. Paid plans are billed through Stripe.

Automatic renewal. A paid subscription renews automatically at the stated billing interval until canceled. You authorize Stripe and Perceptron ML, Inc. to charge the payment method associated with your account for recurring fees and applicable taxes.

Cancellation. You can cancel through the customer billing portal. Cancellation takes effect at the end of the current paid billing period, and you may continue using paid features until then. Deleting an account does not automatically cancel a subscription unless we confirm otherwise.

Refunds. Payments are non-refundable and we do not provide prorated credits, except when required by law or expressly stated in writing by us. If a payment fails, we may retry the charge, limit paid features, or suspend the subscription.

We may change prices or plan features prospectively. We will provide notice of a price increase before it applies to a renewal when required by law.

9. Notyfi intellectual property

Notyfi, including its software, design, branding, documentation, and service-generated systems, is owned by Perceptron ML, Inc. or its licensors and is protected by law. Except for the limited right to use the service under these Terms, no rights are granted to you.

If you provide feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.

10. Third-party services

Notyfi depends on and links to third-party services and sources, including Google, Amazon Web Services, Stripe, Resend, Cloudflare, model and search providers, and public information sources. Third-party services are governed by their own terms and policies. We are not responsible for third-party content, availability, security, or conduct.

11. Suspension and termination

You may stop using Notyfi at any time. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, fail to pay amounts due, abuse the service, or if continuing to provide the service is no longer commercially or technically reasonable. When practical, we will provide notice and an opportunity to address the issue.

Provisions that by their nature should survive termination will survive, including payment obligations, ownership, disclaimers, limitations of liability, indemnification, and dispute provisions.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTYFI IS PROVIDED “AS IS” AND “AS AVAILABLE.” PERCEPTRON ML, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that Notyfi will find every relevant source or event, deliver every notification, meet a particular cadence, preserve every item, or produce accurate or complete results. References to “instant” or similar timing describe product tiers and goals, not a guarantee of real-time delivery.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERCEPTRON ML, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO NOTYFI.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO NOTYFI WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO PERCEPTRON ML, INC. FOR NOTYFI DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US$100.

These limitations apply regardless of the legal theory and even if a party was advised that damages were possible. They do not limit liability that cannot legally be limited.

14. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Perceptron ML, Inc. and its officers, directors, employees, and affiliates from claims, damages, losses, and reasonable legal fees arising from your content, your misuse of Notyfi, your violation of these Terms, or your violation of another person's rights. This section does not apply to the extent a claim was caused by our own breach, negligence, or willful misconduct.

15. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or Notyfi must be brought exclusively in the state or federal courts located in Delaware, and each party consents to their personal jurisdiction and venue.

If the law where you live gives you mandatory consumer rights or a right to bring a claim in another forum that cannot be waived, this section does not take those rights away.

16. Changes to these Terms

We may update these Terms as the service or law changes. We will post the revised Terms here and update the effective date. If changes materially affect your rights, we will provide additional notice when required. Continuing to use Notyfi after updated Terms take effect means you accept them.

17. General

These Terms and the Privacy Policy are the entire agreement between you and us about the consumer service unless a separate signed agreement applies. You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets. If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. Section headings are for convenience only.
